Welcome to The Mindfull App! Please take a minute to read these Terms of Service. By using The Mindfull App (“we”, “us”, “our”, or “the App”), you're agreeing to these rules and our Privacy Policy.

1. Who Can Use The App

• You must be 13 or older to use The Mindfull App. If you're under 18, get a parent's okay.
• The app is just for your personal use (not for businesses or selling stuff).
• By using the app, you're saying you're legally allowed to do so where you live.

2. Your Account & Signing In

• You need an account (email, Apple, Google, etc.) to use the app, save your data, and sync it between your devices.
• Keep your login details private. If you think someone else got in, let us know right away.
• If you use Apple's “Hide My Email”, we'll use that unique email for your account. If you lose access to your sign-in method, it may be tough to recover your account.
• If you break these rules or do anything illegal, we can suspend or close your account.
• You can delete your account anytime in the app—this erases all your info from our servers for good (and can't be undone).

3. Subscriptions and Payments

• Mindfull Pro: Our premium subscription that unlocks all features
• Auto-Renewal: Your subscription automatically renews unless you cancel at least 24 hours before the end of the current period
• Managing Subscriptions: You can cancel or manage your subscription anytime in your device's Settings → Subscriptions
• No Refunds: Payment is charged to your Apple/Google account. We don't offer refunds for partial subscription periods
• Price Changes: We may change subscription prices with 30 days notice. Changes apply to the next billing cycle

4. Your Data and Content

By using the app, you grant us a non-exclusive, worldwide license to use, store, and process your information (contacts, events, notes, etc.) solely to provide and improve the app's features. You represent and warrant that you have all necessary rights to any content you submit and that your content doesn't violate any third-party rights or applicable laws.

5. Using the App

• You may not copy, modify, reverse engineer, decompile, disassemble, attempt to derive the source code of, or create derivative works based on the app or any part thereof, except to the extent expressly permitted by applicable law or to the extent as may be permitted by licensing terms governing any open-source components included with the app.
• You may not sell, rent, lease, sublicense, distribute, transfer, or otherwise make the app available to third parties, except as expressly permitted by these Terms.
• You may not use the app to violate any laws, regulations, or infringe on anyone's intellectual property or privacy rights.
• You may not use the app for any purposes prohibited by United States law, including without limitation the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
• All intellectual property rights in the app, including branding, code, design, and content, belong to us or our licensors. Unauthorized use is prohibited. No oral or written information or advice given by us or our authorized representatives shall create any warranty or in any way increase the scope of our obligations under these Terms.
• We reserve the right to modify, suspend, or discontinue any feature or the entire app at any time without notice or liability to you.

6. Third-Party Services

The app may integrate with third-party services (such as Apple, Google, or other authentication providers). We are not responsible for the availability, accuracy, or content of these third-party services. Your use of such services is governed by their respective terms and policies. We disclaim all liability for any harm or damages arising from your use of third-party services.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY. We do not guarantee that the app will be error-free, uninterrupted, secure, or free from viruses or other harmful components. You use the app at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Mindfull App, its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the app; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the app.

10. Updates and Changes

We reserve the right to modify these Terms or the app at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you via email or in-app notification. Your continued use of the app after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the app and may delete your account.

11. Export Compliance

You may not use or export the app in violation of U.S. export laws and regulations or any other applicable laws in your jurisdiction. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

12. Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of the app will be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association, except for disputes that qualify for small claims court or involve intellectual property rights. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION. The arbitration shall be conducted in Utah, and judgment on the award may be entered in any court of competent jurisdiction.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. Any legal action or proceeding (outside of arbitration) shall be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Mindfull App regarding the app and supersede any prior agreements.
